These terms and conditions outline the rules and regulations for the use of Darmor Solutions' services. By accessing this website and using our services, you accept these terms and conditions in full.
In Short
You are hiring Darmor Solutions to design, develop, manage, or market a website for the total price agreed upon in your project proposal.
As our client, you confirm that you have the authority to enter into this agreement. You agree to provide all necessary materials, content, and feedback in a timely manner. We will perform the services professionally and meet agreed deadlines, subject to your cooperation.
Project Services
Website & Design Projects
We strive for your complete satisfaction with the project outcome. You will have opportunities for revisions as outlined in your proposal (typically 2 hours included). However, repeated changes may require additional work, and we reserve the right to invoice for work completed if revisions exceed the agreed scope.
Final payment is due prior to website launch. Any delays in your feedback may result in invoicing for completed work.
Copy/Text Content
We are not responsible for writing final text copy unless specified in the proposal. We can edit provided content, but substantial content creation may incur additional hourly charges.
Photographs & Videos
You must provide digital media of suitable quality and resolution. We can source stock photography within the project cost. We reserve the right to refuse inappropriate or copyrighted materials.
Scheduling & Timelines
Projects begin upon receipt of deposit, completed questionnaire, and all content. Timelines are estimates based on timely client responses. Delays in feedback or materials will extend project timelines.
Search Engine Optimization
SEO involves many factors beyond design. We provide on-page optimization and advice as outlined in your proposal, but cannot guarantee specific rankings as they depend on external factors.
Management Services
Website Management Overview
Management includes hosting, SSL, updates, backups, security monitoring, and content changes within agreed limits. See your proposal for specific inclusions.
Website Hosting
When we provide hosting, we aim for 99.9% uptime. We may not grant third-party access to our servers. Certain content types may not be hostable on our servers.
Email Hosting
We can recommend secure email providers. Email hosting on our servers is available for additional cost, but we make no guarantees regarding security or performance.
Backups
We provide regular backups. These allow restoration to the last known good state, but do not guarantee zero data loss for recent changes.
Software/Plugin Updates
We routinely update core software and plugins as part of management. Premium licenses you provide will be used; otherwise, updates may be limited.
24/7 Uptime Monitoring
We monitor uptime and resolve issues. If downtime is caused by you or authorized third parties, we may charge hourly rates for resolution.
Website Content Updates
We provide content updates within the time allotted in your proposal, subject to fair usage guidelines.
"Fair Usage" Policy
Management services are subject to fair usage. We handle standard content updates but not major redesigns or additions that substantially change the site scope. Complex changes may require separate quotes.
Requests must be clear and detailed. We may charge for rework due to unclear requirements. Updates are completed promptly but may take up to a week.
Legal & Financial Terms
Copyrights
You guarantee that provided materials are owned by you or properly licensed. Upon final payment, you own the website files and content you provided. We retain rights to display the project in our portfolio.
Payments
Invoices are due within 7 days unless otherwise agreed. Late payments incur a 5% monthly fee. Deposits are non-refundable. Management fees are charged monthly in advance.
Cancellation of management does not entitle refunds for prepaid fees. Outstanding payments must be settled before file transfers.
Early Termination
If you terminate a project after it begins, you remain liable for 100% of the project cost, subject to our discretion for reductions.
Ownership and Intellectual Property
You own the website files and content created for you. We retain rights to showcase the work and reuse custom code for other projects.
Small Print
We cannot guarantee error-free operation. Our liability is limited to the amounts paid for services. Disputes shall be resolved under the laws of [Your Jurisdiction].
Updates
These terms may be updated. Continued use constitutes acceptance of changes.
